Quality Agreement
This Quality Agreement (“Agreement”) is made and entered into on the date the sample was received and processed, between: Florida Skincare Testing, Inc., a company organized and existing under the laws of Florida, with its principal place of business at 101 N. Bay St, Bunnell, FL 32110 the (“Testing Lab”) and the Sponsor, a company organized and existing with its principal place of business listed on the Sample submission form as the Sponsor (“Customer”).
1. Scope of Services
1.1. SPF Testing Services: Testing Lab agrees to provide SPF testing services to Customer in accordance with the agreed-upon specifications and testing methods specified in the testing protocols. Testing Methods: The testing methods shall be in accordance with industry standards and regulatory requirements, including but not limited to FDA and/or ISO Methodologies.
2. Responsibilities
2.1. Testing Lab Responsibilities: Testing Lab shall perform the Clinical testing services including SPF and UVA-PF test methods with due care and in accordance with the agreed-upon specifications and testing methods.
2.2. Customer Responsibilities: Customer shall provide the necessary samples and information required for the SPF testing services. Customer shall also ensure that the samples provided are representative of the products intended for market distribution. Customer shall pay for services provided by the Testing Lab.
3. Quality Assurance
3.1. Quality Control: Testing Lab shall implement quality control measures to ensure the accuracy and reliability of the SPF testing results.
3.2. Reporting: Testing Lab shall provide accurate and timely reports of the SPF testing results to Customer. The reports shall include all relevant data and information necessary for Customer to assess the performance of the tested products.
4. Confidentiality
4.1. Confidential Information: Each party shall keep confidential all proprietary or confidential information disclosed by the other party during the term of this Agreement.
5. Compliance
5.1. Regulatory Compliance: Testing Lab shall comply with all applicable laws, regulations, and industry standards relating to SPF testing services.
6. Amendments and Changes
6.1. Amendments: Any amendments or changes to this Agreement must be agreed upon in writing and executed by both parties.
7. Term and Termination
7.1. Term: This Agreement shall commence on the effective date and shall continue for 2 years or until terminated as provided herein.
7.2. Termination: Either party may terminate this Agreement upon written notice to the other party for any reason or no reason at all.
8. Governing Law and Dispute Resolution
8.1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, USA.
8.2. Dispute Resolution: Any disputes arising out of or relating to this Agreement shall be resolved through good faith negotiations between the parties. If the parties are unable to resolve the dispute amicably, the dispute shall be submitted to arbitration in accordance with the rules of the America Arbitration Association. The prevailing party shall be entitled to recover all attorney’s fees and court costs.
